Terms of Service

1. Acceptance of Terms

By accessing or using the Vidyon platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including individuals and organizations.

2. Description of Service

Vidyon is a cloud-based digital signage management platform that allows users to manage screens, create and schedule content playlists, and monitor devices remotely. The Service is provided on a software-as-a-service (SaaS) basis.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying Vidyon immediately of any unauthorized use of your account

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to register an account.

4. Permitted Use

You may use the Service only for lawful purposes. You agree not to:

  • Use the Service to distribute illegal, harmful, or offensive content
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit viruses, malware, or any other malicious code
  • Violate any applicable local, national, or international laws or regulations
  • Sell, resell, or sublicense the Service without prior written consent from Vidyon

5. Content Responsibility

You retain ownership of all content you upload or create within the Service ("User Content"). By uploading content, you grant Vidyon a limited, non-exclusive, royalty-free license to host, store, and display your content solely for the purpose of providing the Service.

You are solely responsible for ensuring that your User Content does not infringe upon the intellectual property rights, privacy rights, or other rights of any third party.

6. Subscription and Billing

Certain features of the Service may require a paid subscription. By subscribing, you agree to pay all applicable fees. Fees are non-refundable unless otherwise stated or required by applicable law. Vidyon reserves the right to change its pricing at any time with reasonable prior notice.

7. Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content), including but not limited to software, design, text, graphics, and trademarks, are and shall remain the exclusive property of Vidyon. Nothing in these Terms grants you a right to use any of Vidyon's trademarks or branding.

8. Service Availability

Vidyon strives to maintain high availability of the Service but does not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Vidyon is not liable for any damages resulting from service interruptions.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VIDYON DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIDYON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF VIDYON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Termination

Vidyon may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive.

You may terminate your account at any time by contacting us or through the account settings page.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey.

13. Changes to Terms

Vidyon reserves the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
